Terms of use

本規約は、ebox.jpレディースファッション通販（以下、「ebox.jp」という）が提供する会員制サイト（以下、「本サイト」という）によるサービス（以下、「本サービス」という）を、次条で定義する本サイト会員（以下、「会員」という）が利用することに伴う、ebox.jpと会員との間の事項のすべてにわたり適用されるものとします。お客様は、ebox.jpの運営するレディースファッション事業における通信販売をご利用いただく場合、以下の規約が適用されますので、これに同意の上ご注文いただきますよう、あらかじめご了承ください。

第1条本規約の範囲および変更

本規約は、会員に関し、登録、加入条件、実施ルール、マナーその他を規定したものです。ebox.jpは、会員の承諾なしに本規約に新たな規定を追加および変更できるものとします。会員は、ebox.jpからのオンラインあるいはその他の方法で提示される運用規定またはその他の諸規定の追加および変更を承諾するものとし、またそれは本規約の一部を構成するものとします。商品購入に関する事項（配送、決済方法その他）については、第4条に定めるところによるものとします。

第2条会員の登録

新規会員登録に関しては、会員ID・パスワードは会員本人のみが利用できるものとし、他の誰にも譲渡・貸与できないものとします。また、会員ID・パスワードを用いて当社に対して行われた意思表示は、この会員ID・パスワードに該当する会員の有効な意思表示とみなし、これにより生じる支払等はすべて会員の責任となります。

第３条会員資格の停止および資格の抹消

会員資格取得申込の際に虚偽の申告をしたとき、通信販売による代金支払債務を怠ったとき、その他当社が会員として不適当と認める事由があるときは、当社は、該当する会員の資格を取り消すことができることとします。

会員が次の項目のいずれかに該当した場合、ebox.jpは、会員への事前の承諾なしに、そのサービスの利用停止または会員資格の抹消を行うことができるものとします。

（1）ＩＤ/パスワードを不正使用した場合

（2）入会申請内容に虚偽の事項があった場合

（3）本サイトの情報を改ざん、不正利用し、その他運営を故意に妨害した場合

（4）会員資格に不適当で抹消が必要であるとebox.jpレディースファッションが判断した場合

（5）過去に本規約違反をしたことなどにより会員登録抹消の処分を受けていることが判明した場合

（6）本サービスに関する料金などの支払債務の履行遅延その他の不履行があった場合

（7）会員に対し、差押、仮差押、仮処分、強制執行、破産の申し立てがなされた場合、または会員が破産、民事再生を申し立てた場合

（8）その他、本規約に違反した場合

第４条商品の購入

1. 購入

会員は、本サービスを利用して商品を購入することができます。商品の購入を希望する場合、ebox.jpが指定する方法に従って商品の購入を申込むものとします。当該申込に対して、ebox.jpより承諾する旨の電子メールを会員宛に発信した時点で会員とebox.jpとの間に当該商品に関する売買契約が成立するものとします。ただし、本サービスの利用に関して以下の各号に定める場合には、ebox.jpは自社の判断により売買契約について取消、解除その他の適切な措置をとることができるものとします。

（1）第4条第3項による会員のクレジットカードの利用について、クレジットカード会社が当該利用の承認を取り消した場合

（2）クレジットカードの不正利用、または不正利用の疑いがある場合

（3）お届け先（氏名、住所、電話番号等）に不備があり、会員と連絡がつかず、ebox.jpレディースファッションが債務を円滑に履行ができない場合

（4）会員から商品のお届け先として指示された住所が存在しない等、売買契約の申込みに虚偽があった場合

（5）会員が、相当期間内に商品の受領を行わない場合（受取拒否、中長期の不在を含む）

（6）会員の支払い能力が危うくなったと認めうる事情が判明した場合

（7）会員が、常識の範囲を超える大量注文、大量返品を行ったとebox.jpレディースファッションが判断した場合

（8）会員が、対価等その他の債務をその支払い期限を経過してもなおお支払されない場合

（9）第３条各号の定めに該当する場合

2．留保

会員が前項各号に定める事由に該当し、かつ会員とebox.jpとの間に成立した売買契約上、会員の義務が履行されないおそれがあるとebox.jpが判断した場合には、ebox.jpはその選択により、前項に定める措置を講じることなく、会員の義務が履行されるまでの間、当該個別契約上のebox.jpの義務の履行を拒むことができるものとします。この場合、当該個別契約上、ebox.jpの義務が先に履行されるべきものとされている場合であっても、ebox.jpは履行遅滞責任その他の責任を負わないものとします。

3．支払い方法

ご利用いただけるクレジットカードは、ebox.jpが別途指定する種類のクレジットカードに限ります。また、クレジットカードによる決済については、会員がクレジットカード会社との間で別途契約する条件に従うこととし、会員と当該クレジットカード会社等の間で紛争が発生した場合は、当該当事者双方で解決するものとし、ebox.jpには一切責任はないものとします。

4. 配送

商品の引渡しは、ご注文の際に指定されたお届け先に商品が配送されたことをもって完了したものとします。商品の発送は日本国内のみに限らせていただきます。

5. 返品

返品は、商品到着後７日以内で行うものとします(日本国外からの返品は受け付けておりません)。不良品・誤配送の場合は、ebox.jpが本サイト内の「返品について」にて指定する方法で申告するものとします。但し、お客様都合による返品ができません（不良品・誤配送の場合のみ返品を承ります）。尚、会員が本規約および本サイト内の「返品について」の内容に基づかないで商品を返却した場合は、当社は当該商品を会員に再返却します。再返却の際に会員が当該商品の受領を拒むなどして当該商品が当社に戻った場合は、その時点で会員は当該商品の所有権を放棄したものと見なします。その場合は、当社は１ヶ月を経過した時点で当該商品を処分することができます。

第５条 ID及びパスワードの管理

1. 会員は、会員登録等の際に会員自身で設定したユーザーID及びパスワードを厳重に管理・保管する責任を負うものとします。

2. 会員は、ebox.jpの事前の同意がある場合を除き、ユーザーID及びパスワードを第三者に譲渡、売買、承継、貸与、開示又は漏洩してはならないものとします。

3. 会員は、ユーザーID又はパスワードが第三者によって不正に使用されていることが判明した場合には、直ちにebox.jpに連絡するものとし、ebox.jpの指示がある場合はそれに従うものとします。

第６条個人情報の利用

本サービスの利用に関連してebox.jpが知り得た会員の個人情報については、当社は別途ebox.jpが定める「個人情報の取り扱いについて」に従い取り扱うものとします。

第７条退会手続

会員は、ebox.jp所定の手続を経て、いつでも退会することができるものとします。会員は、ebox.jpが会員からの退会申請を受領した時点で会員資格を喪失するものとします。

第８条知的財産権

1. 本サービスを通じて提供されるコンテンツの知的財産権は、全てebox.jpに専属的に帰属するものとします。

3. 本条の規定に違反して第三者との間で何らかの紛争が生じた場合、会員はその責任と費用において、かかる紛争を解決するとともに、ebox.jpに何らの損害、損失又は不利益等を与えないものとします。

第9条免責事項

ebox.jpは、以下の場合に、一時的に本サービスが停止、中止又は変更されたとしても、会員が直接的又は間接的に被った一切の損害、損失、不利益等について、いかなる責任も負わないものとします。

(1) 火災、地震、洪水、落雷、大雪等の天変地異が生じた場合

(2）戦争、内乱、テロ、暴動、騒乱等の社会不安が生じた場合

(3) ebox.jpが契約している電話会社、運送会社又はプロバイダから適切なサービスを受けられなかった場合

(4) ebox.jpが技術的に対応不可能な事由が生じた場合

4. ebox.jpは、会員の登録内容に従い事務を処理することにより、ebox.jpの債務を履行し免責されるものとします。

5. 会員が、本サービスを利用することにより、他の利用者又は第三者に対して何らかの損害等を与えた場合には、当該会員はその責任と費用においてこれを解決し、ebox.jpには一切の損害、損失、不利益等を与えないものとします。

第10条禁止事項

利用者は、以下の行為を一切行ってはならないものとします。万一、これに違反してebox.jp又は第三者に損害が生じた場合、当該利用者がその損害を全て賠償する責任を負うものとします。

(1) 他の利用者、他の利用者以外の第三者、若しくはebox.jpに迷惑、不利益若しくは損害を与える行為、又はそれらのおそれのある行為

(2)他の利用者、他の利用者以外の第三者、若しくはebox.jpの著作権等の知的財産権、肖像権、人格権、プライバシー権、パブリシティ権その他の権利を侵害する行為又はそれらのおそれのある行為

(3) 本サービスを商業目的で利用する行為（但し、ebox.jpが予め認めたものは除きます。）

(4) 公序良俗に反する行為その他法令に違反する行為又はそれらのおそれのある行為

(5) 虚偽又は誤解を招くような内容を含む情報を登録する行為

(6)本サービスを通じて入手したコンテンツを利用者が私的使用の範囲外で使用する行為

(7)他の利用者、又は他の利用者以外の第三者を介して、本サービスを通じて入手したコンテンツを複製、販売、出版、頒布、公開及びこれらに類似する行為

(8)他の利用者の個人情報を収集、蓄積又は保存をする行為

(9)コンピューターのソフトウェア、ハードウェア、通信機器の機能を妨害、破壊、制限するように設計されたコンピューターウィルス、コンピューターコード、ファイル、プログラム等のコンテンツを本サービスにアップロードしたり、メール等の手段で送信したりする行為

(10) 同一会員が複数の会員登録をおこなう行為（パソコン、携帯電話又はスマートフォン何れから複数登録する行為も含むものとします。但し、ebox.jpが予め認めたものは除きます。

(11) 過度に商品を返品する行為

(12) その他ebox.jpの信用を毀損・失墜させる等の当社が不適当であると合理的に判断する行為

第11条その他

1. 本サービスの利用に関して、本規約又はebox.jpの指導・対応により解決できない問題が生じた場合には、ebox.jpと利用者との間で双方誠意をもって話し合い、これを解決するものとします。

2. 本規約に定めのない事項については、カタログ等に記載の方法により、ebox.jpとお客様との間の通信販売は運営されます。

付則：本規約は2017年3月1日から全ての利用者に適用されるものとします。

SECTION 1：Scope and changes of this agreement

SECTION 2：Member registration

Regarding new member registration, the member ID and password can only be used by the member himself / herself and cannot be transferred or lent to anyone else.In addition, the manifestation of intention made to the Company using the member ID / password is regarded as a valid manifestation of intention of the member corresponding to this member ID / password, and all payments etc. caused by this are the responsibility of the member.

SECTION 3：Suspension of membership and cancellation of qualification

If you make a false declaration when applying for membership, neglect to pay the payment obligation by mail order, or if there are other reasons that we deem inappropriate as a member, we will cancel the qualification of the corresponding member.

If a member falls under any of the following items, ebox.jp may suspend the use of the service or cancel the membership without the prior consent of the member.

（1） When ID / password is used illegally.

（2） When there is a false matter in the content of the membership application.

（3）When the information on this site is falsified, misused, or intentionally interferes with other operations.

（4）When ebox.jp Ladies Fashion determines that membership is inappropriate and needs to be deleted.

（5）When it is found that the membership registration has been deleted due to a violation of this agreement in the past

（6）When there is a delay in the performance of payment obligations such as fees related to this service or other defaults

（7）When a member is filed for seizure, provisional seizure, provisional disposition, compulsory execution, bankruptcy, or when a member files for bankruptcy or civil rehabilitation.

（8）In addition, if you violate this agreement.

SECTION 4：Purchase of goods

1. Purchase

Members can purchase products using this service.If you wish to purchase the product, you shall apply for the purchase according to the method specified by ebox.jp.At the time when ebox.jp sends an e-mail to the member to the effect that the application is accepted, a sales contract regarding the product shall be concluded between the member and ebox.jp.However, ebox.jp may cancel, cancel or take other appropriate measures regarding the sales contract at its own discretion if the use of this service is specified in each of the following items.

（1）When the credit card company cancels the approval of the member‘s credit card use according to Article 4, Paragraph 3.

（2）If your credit card is fraudulent or suspected of fraudulent use

（3）When the delivery address (name, address, phone number, etc.) is incomplete, the member cannot be contacted, and ebox.jp Ladies Fashion cannot fulfill its debt smoothly.

（4）When the application for the sales contract is false, such as when the address specified by the member as the delivery address of the product does not exist.

（5）If the member does not receive the product within a reasonable period of time (including refusal of receipt and absence in the medium to long term).

（6）When it becomes clear that the member‘s ability to pay has been compromised.

（7）When ebox.jp Ladies Fashion determines that a member has placed a large order or a large return that is beyond the bounds of common sense.

（8）When the member still does not pay the consideration and other debts even after the payment deadline has passed.

（9）When applicable to the provisions of each item of Article 3

2．Reservation

If the member falls under any of the reasons set forth in each item of the preceding paragraph and ebox.jp determines that the member‘s obligations may not be fulfilled under the sales contract established between the member and ebox.jp, ebox.jp will select it. Without taking the measures set forth in the preceding paragraph, the fulfillment of ebox.jp‘s obligations under the individual contract may be refused until the member‘s obligations are fulfilled.In this case, ebox.jp shall not be liable for delay in performance or any other liability even if ebox.jp‘s obligations should be fulfilled first in the individual contract.

3．Method of payment

The credit cards that can be used are limited to the types of credit cards specified separately by ebox.jp.In addition, regarding payment by credit card, the member shall comply with the conditions of a separate contract with the credit card company, and if a dispute arises between the member and the credit card company, etc., both parties shall resolve it. ebox.jp is not responsible for this.

4. Delivery

Delivery of the product shall be completed when the product is delivered to the destination specified at the time of ordering.Products can only be shipped within Japan.

5. Returns

Returns shall be made within 7 days after the item arrives (returns from outside Japan are not accepted).In the case of defective products or misdelivery, ebox.jp shall declare it by the method specified in "Returns" on this site.However, we cannot accept returns due to customer‘s convenience (we accept returns only in the case of defective products or incorrect delivery).If a member returns a product without complying with this agreement and the contents of "Returns" on this site, the Company will return the product to the member again.If the member refuses to receive the product at the time of re-return and the product returns to the Company, the member will be deemed to have waived the ownership of the product at that time.In that case, we can dispose of the product after one month has passed.

SECTION 5：ID and password management

1. The member shall be responsible for strictly managing and storing the user ID and password set by the member when registering as a member.

2. Members shall not transfer, sell, succeed, lend, disclose or leak the user ID and password to a third party except with the prior consent of ebox.jp.

3. Members shall immediately contact ebox.jp if it is found that their user ID or password has been used illegally by a third party, and shall follow ebox.jp‘s instructions, if any.

4. Members shall be liable for damages caused by insufficient management of user IDs or passwords, mistakes / mistakes in use, unauthorized use by third parties, etc., and ebox.jp shall not be liable at all.

SECTION 6：Use of personal information

Regarding the personal information of members that ebox.jp has learned in connection with the use of this service, we will handle it in accordance with "Handling of personal information" separately defined by ebox.jp.

SECTION7：Unsubscribed

Members may withdraw from membership at any time through the procedures prescribed by ebox.jp.Members shall lose their membership when ebox.jp receives a withdrawal request from the member.

SECTION 8：Intellectual property right

1.All intellectual property rights of the content provided through this service shall belong exclusively to ebox.jp.

2. Regardless of the purpose, if any act prohibited by domestic or foreign copyright law or other laws such as unauthorized reproduction, reproduction or other unauthorized secondary use of ebox.jp content is discovered, we will do so. Shall take immediate legal action.

3. If there is any dispute with a third party that violates the provisions of this Article, the member shall bear the responsibility and expense to resolve the dispute, and shall not cause any damage, loss or adverse effect to ebox.jp.

SECTION 9： Disclaimer

Even if the service is temporarily suspended, cancelled or changed under the following circumstances, ebox.jp shall not be liable for any damages, losses, disadvantages, etc. directly or indirectly caused by members.

(1) When a natural disaster such as a fire, earthquake, flood, lightning strike, or heavy snow occurs

(2) When social unrest such as war, civil war, terrorism, riot, sedition occurs

(3) If you do not receive appropriate services from the telephone company, shipping company or provider with which ebox.jp has a contract.

(4) When there is a reason that ebox.jp cannot handle technically

4. ebox.jp shall fulfill ebox.jp‘s obligations and be exempted from liability by processing the business in accordance with the registered contents of the member.

5. If a member causes any damage to another user or a third party by using this service, the member will resolve this at his / her responsibility and expense.

SECTION 10：Prohibited matters

The user shall not perform any of the following acts. In the unlikely event that ebox.jp or a third party suffers damage in violation of this, the user shall be liable for all damages.

(1) Acts that cause inconvenience, disadvantage or damage to other users, third parties other than other users, or ebox.jp, or acts that may cause them.

(2) Acts that infringe other users, third parties other than other users, or intellectual property rights such as ebox.jp‘s copyright, portrait rights, personality rights, privacy rights, publicity rights, and other rights, or those Actions that may cause

(3) Acts of using this service for commercial purposes (excluding those approved by ebox.jp in advance)

(4) Acts that violate public order and morals or other acts that violate laws and regulations, or acts that may cause them

(5) Acts of registering information containing false or misleading content

(6) The act of the user using the content obtained through this service outside the scope of private use

(7) Copying, selling, publishing, distributing, publishing, and similar acts of content obtained through this service through other users or third parties other than other users.

(8) Acts of collecting, accumulating or storing personal information of other users

(9) Uploading contents such as computer viruses, computer codes, files, programs, etc. designed to interfere with, destroy, or limit the functions of computer software, hardware, and communication devices to this service, or means such as e-mail

(10) The act of the same member registering multiple members (including the act of registering multiple members from either a personal computer, mobile phone or smartphone. However, the ones approved by ebox.jp in advance are excluded.

(11) Excessive return of goods

(12) Other acts that the Company reasonably judges to be inappropriate, such as damaging or damaging ebox.jp‘s credibility.

SECTION11： Others

1. Regarding the use of this service, if a problem that cannot be solved by this agreement or ebox.jp‘s guidance and response arises, ebox.jp and the user shall discuss in good faith and resolve it.

2. Supplementary provision: This agreement shall be applied to all users from March 1, 2017.
